1. Confidential Information

“Confidential Information” means non-public information disclosed by or for the customer to TekRabbits in any form, including Gerber archives, schematics, netlists, manufacturing data, bills of materials, component and placement data, CAD files, three-dimensional models, firmware, test data, prototypes, specifications, correspondence, commercial quantities, pricing and any other information that a reasonable person in the electronics industry would understand to be confidential.

Confidential Information includes copies, extracts, analyses and derivative work product that reveals the substance of the customer’s information. It need not be marked “confidential” to be protected where its nature or the circumstances of disclosure reasonably indicate confidentiality.

2. TekRabbits’ confidentiality obligations

TekRabbits will use Confidential Information only to evaluate, quote, coordinate, fulfil, support, investigate quality matters and comply with legal obligations relating to the requested service. TekRabbits will protect it using reasonable administrative, technical and organisational safeguards appropriate to the nature of the information and will restrict access to personnel and authorised service providers who have a need to know for that permitted purpose.

• We will not sell, publish, advertise with, publicly display or knowingly use Confidential Information for an unrelated customer project.
• We will require authorised recipients to be bound by confidentiality obligations no less protective than those applicable to the information, subject to legal and operational requirements.
• We will not use submitted technical files to train a public-facing machine-learning system.
• We will not claim ownership of the customer’s submitted design material merely because it is processed through our service workflow.

3. Exclusions and required disclosure

Confidential Information does not include information that TekRabbits can demonstrate through contemporaneous records: was lawfully known without confidentiality restriction before disclosure; becomes publicly available without breach of this commitment; is lawfully received from a third party without confidentiality duty; or is independently developed without use of the customer’s Confidential Information.

If disclosure is required by applicable law, regulation, court order or governmental authority, TekRabbits may make the required disclosure. Where lawful and practicable, we will give the customer prompt notice so that the customer may seek protective treatment, and we will disclose only the portion reasonably required.

4. Security, retention and return or deletion

Access to design files is restricted to the order workflow and authorised personnel. We may retain Confidential Information only for as long as reasonably necessary for quoting, fulfilment, quality review, dispute handling, account administration, backup cycles, legal compliance or establishment, exercise or defence of legal claims. Retention periods may differ by file type, order status and legal requirement.

On a written request after fulfilment, TekRabbits will take reasonable steps to delete or return active copies that are no longer required for the permitted purposes, subject to lawful retention, routine backups and archives that are not readily accessible in the ordinary course. Backup copies remain protected by this commitment and are deleted in the normal rotation cycle where technically feasible.

If we become aware of an unauthorised access, use or disclosure that materially affects your Confidential Information, we will assess the event and provide notice where required by applicable law or reasonably appropriate to enable a response.

5. Intellectual property, feedback and no licence

All right, title and interest in the customer’s Confidential Information remain with the customer or its licensors. Nothing in this commitment transfers ownership or grants TekRabbits a licence except the limited right to use the information for the permitted purposes. TekRabbits retains ownership of its pre-existing tools, methods, templates, processes, website and general know-how that does not disclose the customer’s Confidential Information.

If the customer provides feedback or suggestions, TekRabbits may use them only if they are voluntarily provided without Confidential Information and without an express restriction; this does not permit use of the customer’s design material or confidential project details.

6. Term, remedies and governing law

This commitment begins when Confidential Information is first submitted or disclosed and continues for five years after the last disclosure, except that trade secrets remain protected for so long as they qualify as trade secrets under applicable law. Confidentiality obligations relating to personal data continue for the period required by applicable law.

Unauthorised use or disclosure may cause harm for which monetary damages may be inadequate. Subject to applicable law, the customer may seek appropriate injunctive or equitable relief in addition to other available remedies. This commitment is governed by the laws of India, subject to mandatory rights and remedies that cannot lawfully be waived.
